Terms of Service

The following terms and conditions govern all use of the paulboakyeassociates.com website and all content, services and products available at or through the website, including, but not limited to, our Advertising and Marketing Services, Online Publishing operation and Shop, (taken together, the Website). The Website is owned and operated by Paul Boakye Associates Limited (“PB+”). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, our Privacy Policy) and procedures that may be published from time to time on this Site by Paul Boakye Associates Limited (collectively, the “Agreement”).

Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Paul Boakye Associates Limited, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 13 years old.

  • you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
  • the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
  • Responsibility of Contributors. If you write a post, comment on a blog, post material to the Website, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, “Content”), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:
    • the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
    • if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;
    • the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
    • the Content is not pornographic, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;
    • your blog is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, other blogs and web sites, and similar unsolicited promotional methods;
    • your blog is not named in a manner that misleads your readers into thinking that you are another person or company. For example, your blog’s URL or name is not the name of a person other than yourself or company other than your own; and
    • you have, in the case of Content that includes computer code, accurately categorised and/or described the type, nature, uses and effects of the materials, whether requested to do so by Paul Boakye Associates Limited or otherwise.

    By submitting Content to Paul Boakye Associates Limited for inclusion on our Website, you grant Paul Boakye Associates Limited a worldwide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content solely to display, distributing and promoting your blog post.

    Without limiting any of those representations or warranties, Paul Boakye Associates Limited has the right (though not the obligation) to, in Paul Boakye Associates Limited’s sole discretion (i) refuse or remove any content that, in Paul Boakye Associates Limited’ reasonable opinion, violates any Paul Boakye Associates Limited policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, in Paul Boakye Associates Limited’ sole discretion. Paul Boakye Associates Limited will have no obligation to provide a refund of any amounts previously paid unless they fall under our refund policy.

  • Payment and Renewal.
    • General Terms.
      Optional paid services such as subscriptions or paid downloads are available on the Website (any such services, a “Purchase”). By selecting a Purchase, you agree to pay Paul Boakye Associates Limited the fees indicated for that product. Payments will be charged immediately and only be refundable under our refund policy.
  • Content Posted on Other Websites. We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which Paulboakyeassociates.com links, and that link to Paulboakyeassociates.com. Paul Boakye Associates Limited does not have any control over those websites and web pages and is not responsible for their contents or their use. By linking to a website or web page, Paul Boakye Associates Limited does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Paul Boakye Associates Limited disclaims any responsibility for any harm resulting from your use of those websites and web pages.
  • Changes. Paul Boakye Associates Limited reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. Paul Boakye Associates Limited may also, in the future, offer new services and/or products through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
  • Termination. Paul Boakye Associates Limited may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement, you may simply discontinue using the Website. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
  • Disclaimer of Warranties. The Website is provided “as is.” Paul Boakye Associates Limited and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Paul Boakye Associates Limited nor its suppliers and licensors make any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.
  • Limitation of Liability. In no event will Paul Boakye Associates Limited, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Paul Boakye Associates Limited under this agreement during the twelve (12) month period prior to the cause of action. Paul Boakye Associates Limited shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
  • General Representation and Warranty. You represent and warrant that (i) your use of the Website will be in strict accordance with the Paul Boakye Associates Limited Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.
  • Indemnification. You agree to indemnify and hold harmless Paul Boakye Associates Limited, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.
  • Miscellaneous. This Agreement constitutes the entire agreement between Paul Boakye Associates Limited and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Paul Boakye Associates Limited, or by the posting by Paul Boakye Associates Limited of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the United Kingdom.

Website Development, Ongoing Support and Internet Marketing

All Graphic Design, Web Design and Development and Ongoing services provided by Paul Boakye Associates Limited are subject to the following terms and conditions.

Estimates and Contracts
Estimates provided to prospects will be honoured for 30 days. A new quote will be provided after that time upon request. Contracts that have been written, but not signed by the client will only be accepted within the 30 day period. A new contract may be drawn on request.

Charges and Fees
All new web development projects require a minimum initial 50% deposit due at contract signing. The remaining 50% fee is due upon acceptance of the completed web development project before it is released to the client or published to the internet.

All new web development projects that exceed $900 US-dollars may be split into three payments. An initial deposit of 1/3 of the total project cost will be due upon signing contracts. The second payment of 1/3 the total project cost is due upon acceptance of the website design. The final payment will become due on approval of the completed web development project before it is released to the client or published to the internet.

Any cheque payments that do not clear will be charged a $35 fee. Paul Boakye Associates Limited retains the right to hold all graphics, and project development (except content and graphics provided by the client) until payment is received for such items (See copyright and ownership clause).

Paul Boakye Associates Limited accepts payments by direct bank transfer, cash, cheque, PayPal and all major Credit Cards. Your project will not be released to you or uploaded until payment is received in full.

Hours of Operation
Our business hours are Monday-Friday from 9am-5pm GMT. If you require maintenance after the posted hours, such as on weekends or holidays, we reserve the right to charge you our base rate of $95 per hour with an additional charge of $45 per hour for after-hours assistance.

Web Site Design Credit
All Paul Boakye Associates Limited custom web design clients will have a Design by Paul Boakye Associates Limited link on their website in the footer of every page. This is non-negotiable. By hiring us to work on your website you agree to this, and understand that this link may NOT be removed without our consent. You may pay Paul Boakye Associates Limited a fee of $250 to have this link permanently removed. Should you have a new layout designed for your site by a company other than Paul Boakye Associates, you may, of course, remove the credit from your website.

Copyright and Ownership
Upon completion of the project, Paul Boakye Associates Limited transfers all rights and ownership of CUSTOM designs and any programming written by Paul Boakye Associates Limited to the client. Software and third-party graphics or programs are not transferred to the client and remain under copyright of their respective owners.

Ownership and copyright of all Template Monster, HostGator, and Limited Edition Templates available in our stores remain with Paul Boakye Associates Limited and are not transferred to the client.

Paul Boakye Associates Limited reserves the right to resell custom designed websites that remain unpaid by the original client, unaccepted mock-ups or other graphics created by Paul Boakye Associates Limited but not in legal use by the client.

Paul Boakye Associates Limited reserves the right to display websites and graphics that have been designed by Paul Boakye Associates Limited on their site, and in any marketing material to aid as examples of our work.

Paul Boakye Associates Limited requires a deposit before we begin work on any project. A request to terminate services must be presented to Paul Boakye Associates Limited in writing. Paul Boakye Associates Limited has a Guaranteed 90 Day Turnaround for your project. If we fail to complete your project within 90 days of the start date AND you have turned in all content, images and information requested by us, you will receive a 50% refund within 30 days of your written request. Otherwise, please follow the refund terms below.

Refunds will be processed within 30 business days of a request by the client if there is a refund amount due based on the terms above.

Paul Boakye Associates Limited will not negotiate chargebacks with any person or company. Our Refund policies are clearly stated above, and all clients are asked to read and agree to our terms of service before the start of any project.

Development and Delivery
Paul Boakye Associates Limited understands the importance of completing projects promptly. We agree to complete the web design project within 90 days from the date of contract signing. If the client does not supply Paul Boakye Associates Limited with complete text, graphic content and other requested materials for the contracted client within 90 days of contract signing, the contract becomes void and all deposits paid by the client are forfeited. The client may request a Project Extension in writing to Paul Boakye Associates Limited for an additional fee of 20% of the total project cost for every 30 days of extension. All extension fees are due upon agreement of the extension between Paul Boakye Associates Limited and the client.

If we are unable to communicate with a client on a project for at least sixty days (60) by phone or email during the design and development process, the project will be cancelled without prior notice, and no refund will be issued.

Services purchased from Paul Boakye Associates Limited are provided “as is” without warranty of any kind that the web design project will be uninterrupted or error-free. In no event shall Paul Boakye Associates Limited be liable to the client for any direct, indirect, special, punitive, incidental, or consequential damages arising out of the use of the website, services, and/or goods provided to the client. This includes, without limitation, lost profits, business interruption, loss of data or other losses directly resulting from the use of the website, services, and/or goods provided to the client. The entire risk as to the quality and performance of the web design is with the client.

International Customers
We are happy to accept projects from customers outside of the United Kingdom. However, we do require full payment of all International orders before beginning your project. This is non-negotiable.

Notice: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Exclusive jurisdiction and venue is as governed in the courts of the United Kingdom.

Please note that by submitting your Deposit or down payment for our services you agree to all of our terms of service as written here. Paul Boakye Associates Limited reserves the right to change or update these terms at any time without prior notice.

Ongoing Support and Internet Marketing Services
Are subject to the above terms and are paid on a yearly, monthly or hourly basis depending on the agreement details as stated in the original estimate(s).

Graphic Design, Digital and Print Ads, Logos and Commercial Document Projects

As a digital creative marketing agency, you are responsible for providing us with all artwork corrections for your projects. Please note that it makes good sense to check your designs (and spelling) before print approval – corrections or modifications made after the approval/proofing stage will incur extra charges, as we need to make design changes and repeat the entire pre-press process to incorporate the new files.

In summary, Paul Boakye Associates Limited and our artists have done everything possible to make the artwork and files perfect. However, Paul Boakye Associates Limited and it’s designers/affiliates are not responsible for its final approval, so please be sure to check all copy, dimensions and colour separations.

Website Development & Ongoing Support

Maintenance (changes or updates) on your new website is included for the first 30 days after launch date. At that time we can still address any minor changes/updates to the site as well as website related questions and tutorials. We DO NOT provide ANY support after this initial 30 days post site launch. It is up to the client to do their due-diligence to check and test the site before the approval and launch of their new website.

Any and all website related changes, questions, updates and support issues outside this 30-day post-launch window will be billed at our normal hourly rate of $95/hour (Our hourly rate is subject to change without written notice). If you are likely to require any additional website support, it is highly recommended that you sign-up for an ongoing website support plan through one of our staff members.
